One-time Strategic Consultation

Note: Each session lasts up to 30 minutes.

Consultation Session Terms & Conditions

1. Scope of Services

The Consultant agrees to provide professional advisory and consultation services in the areas of Software Architecture, AI Architecture, Business Expansion, and Startup Support as per the agreed schedule. The consultation is for guidance purposes only and does not constitute legal, financial, or investment advice.

2. Payment & Fees

• All consultation sessions must be paid in full before the scheduled appointment unless otherwise agreed in writing.

• Fees are non-refundable, except as outlined in the Cancellation & Rescheduling section.

• Any additional services beyond the agreed session will be charged separately at the Consultant’s discretion.

3. Cancellation & Rescheduling

• Clients must provide at least 24 hours notice to reschedule a session.

• No-shows or last-minute cancellations (less than 24 hours notice) will forfeit the session fee.

• If the Consultant needs to reschedule, the Client will be offered an alternative time or a full refund.

4. Confidentiality & Non-Disclosure

• All discussions, documents, and shared information during the session will remain confidential unless disclosure is required by law.

• The Client agrees not to disclose, record, or share any proprietary methodologies, materials, or insights provided by the Consultant without written permission.

5. No Guarantees or Liability

• The Consultant provides advice based on experience and expertise but does not guarantee specific results or business success.

• The Client assumes full responsibility for any decisions made based on the consultation.

• The Consultant is not liable for any business losses, damages, or claims resulting from the Client's actions following the consultation.

6. Intellectual Property

• Any documents, frameworks, tools, or strategies provided during the consultation remain the property of the Consultant.

• The Client is not permitted to reproduce, distribute, or resell any materials without prior written consent.

7. Limitation of Engagement

• The consultation does not establish an employer-employee, legal, or financial advisor relationship.

• Any additional advisory or execution beyond the agreed scope will require a separate agreement.

8. Dispute Resolution

• Any disputes shall first be resolved through good-faith discussions.

• If necessary, disputes shall be subject to arbitration in Bengaluru District, with costs shared equally by both parties.

9. Governing Law

This agreement shall be governed by and construed in accordance with the laws of Bengaluru, India.

10. Acceptance of Terms

By scheduling and/or attending a consultation session, the Client agrees to these Terms & Conditions and acknowledges that they have read, understood, and accepted them.
